How procurement teams use AI for contract review: summarise supplier agreements, flag risky clauses and prepare questions, with legal and buyers approving.

AI for contract review in procurement means using ChatGPT, Claude or Microsoft Copilot to summarise a supplier contract and flag clauses that need attention, in minutes. It gives the buyer a first read before legal looks. NASSCOM-Deloitte says India needs 1.25 million AI professionals by 2027, so this skill is worth building now.
TL;DRIt reads a long supplier agreement and gives you a plain-language summary, a list of obligations on both sides and a list of clauses that look unusual. Think of it as a sharp junior who reads fast and never gets tired, but who can still miss context. A buyer with a first read can go to legal with specific questions instead of a 40-page PDF, which shortens the cycle for everyone.
Ask for payment terms and late-payment interest, price revision and escalation, liability caps and indemnity, termination and notice periods, penalties and delivery SLAs, IP ownership, exclusivity and auto-renewal. These are the places where a small phrase changes cost or control. The AI should list each one with the clause number and a one-line explanation. For a related workflow, see how teams compare supplier quotes with AI.
| Clause | Why it matters | Question to ask the supplier |
|---|---|---|
| Payment terms and interest | Affects cash flow and penalties | Can terms match our standard cycle? |
| Price revision | Can raise cost mid-contract | What index or cap applies? |
| Liability and indemnity | Decides who bears loss | Is there a cap and what does it cover? |
| Termination and notice | Controls exit options | Can we exit for non-performance? |
| Auto-renewal and exclusivity | Locks you in | Can renewal be by written consent? |
Give the AI a role, the contract type and your priorities: for example, you are a buyer at a manufacturing company and want risks on payment, delivery and termination. Ask it to quote each clause number, rate the concern as low, medium or high, and suggest a question for the supplier. Then ask what is missing, such as no cap on liability. Always read the quoted clauses yourself; if it cannot quote, treat the flag as unverified.
Do not paste confidential pricing, supplier names, bank details or anything covered by an NDA into a public tool. Use your company's approved Microsoft Copilot or a private setup, or mask names and numbers before pasting. Keep a simple rule: if you would not email it to a stranger, it does not go in. I teach this rule first in every session, because one careless paste can cost more than a year of saved time.
AI never signs off a contract, never gives a legal opinion and never decides to accept a term. The buyer reviews the flags, legal reviews the contract and the approver signs. Build that into your process as a written step: AI summary, buyer check, legal review, approval. In my own businesses, agents prepare and a person approves, and procurement should work the same way, with clear ownership at each step.
A table makes the output usable: clause, what it says, why it matters, risk level and question for the supplier. Buyers can sort it, share it with legal and attach it to the file for audit. Ask the AI to produce this table every time, in the same format, so reviews stay consistent across suppliers and across people on your team.
A company-booked session takes your team through real, masked contracts, builds a reusable prompt and a review table, and ends with a checklist. Yes, as a first pass. AI summarises the contract and flags clauses to question. A person must verify each flag and legal must approve.
Not on a public tool with confidential content. Use an approved company tool or mask names, prices and bank details first, and follow your NDA terms.
No. AI helps the buyer prepare. Legal advice and final approval stay with your legal team and authorised signatories.
